1. Acceptance of these Terms

By accessing or using the Website, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website.

If you use the Website on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes the organization.

2. Website purpose and consulting engagements

The Website provides general information about B-Team, our capabilities, and selected work. Website content is for informational purposes only. It is not a proposal, guarantee, professional opinion, or commitment to provide services.

Consulting, software development, implementation, or other professional services are provided only under a separate written agreement signed by B-Team and the applicable client. If these Terms conflict with a signed client agreement concerning paid services, the signed client agreement controls for those services.

Case studies may use aliases, anonymized facts, rounded figures, or generalized technical details to protect client confidentiality. Results described on the Website are examples, not promises of future performance.

3. Permitted use

You may access and use the Website for lawful, personal, or internal business purposes. You agree not to:

• Use the Website in violation of any law, regulation, contract, or third-party right.
• Attempt to gain unauthorized access to the Website, its infrastructure, accounts, or connected systems.

“B-Team Consulting,” our logo, and related names and marks are trademarks or service marks of B-Team. Other names and marks belong to their respective owners.

When you contact us, you represent that the information you provide is accurate and that you have the right to provide it. Do not send confidential information through the Website unless we have first agreed in writing to receive it confidentially.

Submitting an inquiry does not create a client, fiduciary, employment, partnership, or other professional relationship. No obligation of confidentiality arises solely from a Website submission. If you provide general feedback about the Website or our services, you grant us permission to use that feedback without restriction or compensation. To the fullest extent permitted by law, B-Team and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. To the fullest extent permitted by law, the total aggregate liability of B-Team and the other parties listed above for all claims arising from or related to the Website or these Terms will not exceed one hundred United States dollars. Some jurisdictions do not allow certain warranty exclusions or limitations of liability, so portions of this section may not apply to you.

9. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless B-Team and its owners, officers, employees, contractors, and affiliates from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising from your unlawful use of the Website, your violation of these Terms, or your infringement of another party's rights.

10. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any legal action arising from or related to the Website or these Terms must be brought in a state or federal court with jurisdiction in Georgia. You and B-Team consent to the personal jurisdiction of those courts.

Before filing a claim, you agree to contact us and make a good-faith effort to resolve the dispute informally. Nothing in this section prevents either party from seeking immediate injunctive relief when necessary to protect intellectual property, confidential information, or system security.

11. Changes and termination

We may modify the Website or these Terms from time to time. Revised Terms become effective when posted unless a later date is stated. Your continued use of the Website after the effective date means you accept the revised Terms.

We may suspend or terminate access to all or part of the Website at any time, with or without notice, when reasonably necessary for security, maintenance, legal compliance, or protection of our rights. Provisions that by their nature should survive termination will remain in effect.

12. General terms

These Terms and the Privacy Policy are the entire agreement concerning use of the Website. They do not replace a separate signed agreement for B-Team services. If a provision is found unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign them in connection with a reorganization, merger, acquisition, or sale of assets. Headings are provided for convenience and do not affect interpretation.
